Miranda Technologies to Acquire NVision

Miranda Technologies has announced that it has entered into apurchase agreement with ADC Telecommunications, a leading globalsupplier of network equipment, fiber optics, software, and systemsintegration, to acquire NVision (www.nvision1.com), which has operated as a divisionof ADC since it was acquired in 2000. The Grass Valley, Calif.-basedmanufacturer produces routing switchers and signal-processing equipmentfor the broadcast, postproduction, and production industries. The dealis expected to close in April, subject to the satisfaction of customaryclosing conditions by the parties. Financial terms of the agreementwere not disclosed.

The acquisition will further round out Miranda's product offering inlarge-scale video and audio routing, audio signal processing, andconversion, as well as fiber-optic interfaces, and positions Miranda asa key supplier for large infrastructure projects.

The purchase agreement covers all NVision assets, including a strongportfolio of more than 40 technology patents and represents asignificant expansion of Miranda's activities in the United States withthe formation of Miranda MGV, a new entity based in Grass Valley,Calif., that will regroup NVision personnel, facilities, manufacturing,engineering, and technical support with existing Miranda U.S. salesoperations.

Founded in 1989, NVision has a long history of expertise in digitalaudio and HDTV distribution and signal processing, and more recentlyhas led the way in technology development of large-scale digital videoand audio routers, including the first large-scale HDTV router. TheNVision series of digital video routers provides the ability to routestandard SDI and HD-SDI signals (to 1.5GB data rates) in the same frameat the same time.
